Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Sponsoro website at sponsoro.co.uk, our free compliance tools, and the Sponsoro sponsor compliance platform at app.sponsoro.co.uk (together, the “Services”), operated by the provider of Sponsoro (“Sponsoro”, “we”, “us” or “our”).

By creating an account, starting a trial, purchasing a subscription, inviting team members, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation and “you” refers to that organisation.

If you do not agree to these Terms, you must not use the Services. Our Privacy Policy explains how we handle personal data and forms part of your agreement with us.

• Customer / you — the organisation or individual that registers for or uses the Services
• Authorised User — a person invited to use the Services under your account (key personnel, administrators, advisers, etc.)
• Sponsored Worker — an individual whose immigration and employment data you record in Sponsoro
• Workspace — your organisation's isolated environment within the application
• Subscription — a paid plan (Micro, Small, Growth, Scale or Enterprise) providing access to platform features subject to plan limits
• Trial — a time-limited evaluation period before a Subscription is purchased
• Content — data, documents, text and other materials you or your Authorised Users upload or enter into the Services
• Output — reports, exports, alerts, audit records and other materials generated by the Services from your Content

Who may use Sponsoro

• You must be at least 18 years old and capable of entering into a binding contract
• The Services are intended for UK licensed sponsors, their key personnel and authorised advisers managing sponsor licence compliance
• You must provide accurate registration information and keep it up to date
• You must verify your email address before full account access is granted
• One account registration per organisation workspace — do not create duplicate workspaces to circumvent plan limits

Account security

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You must notify us promptly at privacy@sponsoro.co.uk if you suspect unauthorised access. We recommend enabling multi-factor authentication for Authorising Officer and Level 1 users as described in our Security page.

Sponsoro is cloud-based sponsor licence compliance software. Depending on your plan, the Services may include features such as:

• Sponsored worker record management
• Right to Work checks and recheck workflows
• Salary compliance tracking and payroll import tools
• Certificate of Sponsorship usage tracking
• Key personnel register
• SMS reporting queue and deadline management
• Document vault and evidence storage
• Immutable audit trail and audit pack exports
• Visit readiness and compliance analytics
• Public register monitoring and guidance change alerts
• Recruitment and vacancy defensibility evidence
• Immigration Skills Charge calendar
• AI Copilot for compliance guidance exploration
• Worker portal for limited evidence upload tasks

Feature availability depends on your Subscription tier, add-ons and entitlements shown in your workspace and on our Pricing page. We may add, modify or retire features from time to time. Where a material change adversely affects a paid feature you rely on, we will use reasonable efforts to notify you in advance.

Sponsoro does not provide immigration advice, legal advice or regulated immigration services. The Services provide compliance information, workflow support, record-keeping tools and references to official Home Office guidance. They do not replace your obligations as a licensed sponsor or the judgment of qualified immigration advisers or legal professionals.

• You remain solely responsible for compliance with your sponsor licence duties, SMS obligations and UK immigration law
• Alerts, scores, checklists and AI outputs are informational — you must verify outcomes before relying on them for compliance decisions
• Guidance content may reference gov.uk sources; official guidance can change — always verify the current source
• Sponsoro is not affiliated with, endorsed by or acting on behalf of the Home Office or UK Visas and Immigration
• Use of Sponsoro does not guarantee a successful compliance visit, licence renewal or immigration outcome

As a Customer, you are responsible for:

• Ensuring you have a lawful basis and appropriate privacy notices for processing worker and personnel data in Sponsoro
• Uploading only data that is accurate, necessary and proportionate for sponsor compliance purposes
• Maintaining your sponsor licence and meeting Home Office reporting and record-keeping obligations
• Reviewing compliance alerts and taking appropriate action in your organisation
• Ensuring Authorised Users understand their roles and do not exceed their permissions
• Promptly removing access for users who leave your organisation or change role
• Retaining copies of critical records outside Sponsoro where your policies or legal obligations require it
• Complying with applicable employment, immigration and data protection laws

You may invite Authorised Users to your workspace subject to your plan's portal seat limit. You assign roles (such as Authorising Officer, Level 1, Level 2, read-only or adviser) that control what each user can view and do.

• You are responsible for Authorised Users' compliance with these Terms
• Authorising Officer and Level 1 roles may be required to enrol multi-factor authentication
• Adviser access is read-only or scoped — advisers must not use Sponsoro to provide regulated immigration advice through the platform unless they are appropriately qualified and authorised
• Worker portal users may access only the tasks and evidence flows you assign to them
• We may suspend or remove users who violate these Terms or pose a security risk

You must not:

• Use the Services for any unlawful purpose or in violation of UK immigration or employment law
• Upload malware, unlawful content or data you do not have the right to process
• Attempt to access another organisation's workspace or bypass tenant isolation
• Reverse engineer, scrape, probe or stress-test the Services except as permitted by law
• Share account credentials or sell/resell access to the Services without our written consent
• Use the Services to store data unrelated to sponsor compliance without our agreement
• Interfere with or disrupt the integrity or performance of the Services
• Use automated means to access the Services except via documented APIs we provide
• Misrepresent your sponsor licence status, worker records or compliance position

We may investigate violations and take action including warning, suspension or termination of access. We may report unlawful activity to relevant authorities where required.

Our marketing website and free tools (such as salary checkers, deadline calculators, sponsor licence lookup and health checks) are provided for general information purposes.

• Free tools do not require an account unless stated otherwise
• Results are estimates or lookups based on the inputs and data sources available at the time — not compliance determinations
• We may change, limit or withdraw free tools at any time
• Use of free tools is subject to these Terms and our Privacy Policy

New organisations may receive a 14-day free trial with Growth-tier feature entitlements. No payment card is required to start a trial.

• The trial begins when your organisation account is created and ends 14 days later unless you subscribe earlier
• At trial end, workspace access is blocked until you select and pay for a Subscription, unless we agree otherwise in writing
• One trial per organisation — we may refuse or terminate trials that appear to be abusive or duplicate
• Content you upload during a trial remains subject to these Terms and our Privacy Policy
• We may modify trial length or entitlements for new customers with reasonable notice on our website

Plans

Paid Subscriptions are offered on a tiered basis (Micro, Small, Growth, Scale and Enterprise). Each tier includes limits on sponsored workers, portal seats, document storage and feature entitlements as described on our Pricing page at the time of purchase.

Prices are in GBP and exclude VAT where applicable. Current prices are shown on /pricing. Enterprise and custom contracts are agreed separately in writing.

Overages & add-ons

• On Micro, Small and Growth plans, sponsored workers beyond your tier limit are billed at £4/worker/month unless you upgrade
• Scale includes up to 200 workers at a flat monthly or annual price
• Micro plan customers may purchase individual feature add-ons instead of upgrading — add-on pricing is shown at checkout
• Exceeding storage or seat limits may require upgrading, purchasing additional capacity or removing data
• AI assistant message allowances vary by plan; exceeding limits may restrict further AI use until the next billing period or until you upgrade

Upgrades & downgrades

Plan changes are processed through the billing settings in your workspace or via Stripe checkout. Upgrades typically take effect immediately; downgrades may take effect at the next billing period depending on Stripe configuration. You remain responsible for fees incurred before a downgrade takes effect.

Payment

• Self-serve Subscriptions are billed through Stripe on a monthly or annual basis as selected at checkout
• You authorise us and Stripe to charge your payment method for recurring fees, overages and applicable taxes
• Fees are non-refundable except where required by law or expressly stated in these Terms
• We may change plan prices for new subscriptions with notice; price changes for existing subscriptions will apply at renewal with advance notice where required

Failed payments

If a payment fails, your account may enter a past-due state. You retain full workspace access for up to 7 days while we attempt to collect payment. After the grace period, your workspace becomes read-only — you can view records and export evidence but cannot add workers or submit new reports until billing is restored.

Cancellation

• You may cancel your Subscription through the Stripe billing portal or by contacting us
• Cancellation stops future billing; access continues until the end of the current paid period unless otherwise stated
• After cancellation, your workspace may enter read-only mode — exports remain available subject to your plan and these Terms
• We may suspend or terminate access immediately for material breach, non-payment after grace periods, unlawful use or security risks

Taxes

Fees exclude VAT and other applicable taxes unless stated otherwise. Where required, we will collect VAT at the prevailing UK rate.

Roles under UK GDPR

For account and billing data, Sponsoro is typically the data controller. For worker, key personnel and compliance Content you upload, you are the data controller and Sponsoro acts as your data processor.

Your Content

You retain ownership of your Content. You grant us a limited licence to host, process, back up and display your Content solely to provide and improve the Services, comply with law and enforce these Terms.

Privacy & DPA

• Enterprise customers may request a Data Processing Agreement (DPA) — contact privacy@sponsoro.co.uk
• You must not upload special category or criminal offence data unless you have a lawful basis and appropriate safeguards
• We implement security measures described on our Security page — /security

Data export & retention

Authorised Users may export data from the workspace. After termination, we retain data according to our retention policies and legal obligations. You should export records you need before cancelling if you require continued access. Automated document retention may apply according to your plan and configuration.

Our IP

Sponsoro and its licensors own all rights in the Services, including software, design, branding, documentation and underlying technology. These Terms do not grant you any ownership rights — only a limited, non-exclusive, non-transferable licence to use the Services during your Subscription or trial, subject to these Terms.

Your IP

As between you and us, you own your Content. You represent that you have the rights necessary to upload Content and grant the licence above.

Feedback

If you provide suggestions or feedback, we may use it without restriction or compensation to you.

The AI Copilot feature uses third-party AI providers to help you explore compliance guidance and organisation data. By using AI features, you acknowledge:

• AI outputs may be incomplete, outdated or incorrect — you must independently verify before acting
• AI outputs do not constitute immigration advice or a compliance determination
• Relevant queries and context may be sent to AI subprocessors (Anthropic for completions, OpenAI for embeddings) as described in our Privacy Policy
• Your Content is not used to train third-party AI models
• AI usage limits apply according to your plan; we may throttle or suspend AI access for abuse

The Services integrate with third-party providers including Stripe (billing), Microsoft Graph (email), Cloudflare (storage and bot protection), and optional payroll, register and geocoding services. Your use of third-party services may be subject to their terms.

We are not responsible for third-party services outside our reasonable control. A list of subprocessors is available in our Privacy Policy and Security page.

We aim to keep the Services available but do not guarantee uninterrupted access. Planned maintenance, third-party outages and force majeure events may cause downtime.

• Support levels vary by plan — Scale and Enterprise include priority support
• We may provide updates, patches and new features without additional charge during an active Subscription
• Beta or preview features may be offered as-is with limited support
• Health status and incident communication will be provided through reasonable channels during significant outages

To the fullest extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.

We do not warrant that the Services will be error-free, that compliance alerts will identify every issue, or that use of the Services will ensure sponsor licence compliance or avoid Home Office action.

Nothing in these Terms excludes or limits warranties that cannot be excluded under applicable law, including the Consumer Rights Act 2015 where you are a consumer (which is unlikely for B2B sponsor use).

To the fullest extent permitted by law:

• Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity
• Our total aggregate liability arising from or relating to the Services or these Terms is limited to the fees you paid us in the twelve (12) months before the event giving rise to the claim
• These limits do not apply to liability that cannot be limited by law, death or personal injury caused by negligence, fraud, or your indemnity obligations

You acknowledge that sponsor non-compliance, Home Office penalties, licence suspension or revocation, and immigration outcomes are outside our control and not recoverable from us except to the extent directly caused by our breach of these Terms and subject to the cap above.

You will indemnify and hold harmless Sponsoro and its officers, directors, employees and agents from claims, damages, losses and expenses (including reasonable legal fees) arising from:

• Your Content or your processing of personal data through the Services
• Your breach of these Terms or applicable law
• Your sponsor licence obligations or immigration compliance decisions
• Authorised Users' use of the Services under your account

By you

You may stop using the Services at any time. Cancel your Subscription as described in section 12. Export data you need before access ends.

By us

We may suspend or terminate your access if:

• You materially breach these Terms and do not remedy within a reasonable period where remedy is possible
• Your trial or Subscription expires without renewal or payment
• We are required to do so by law or a regulatory authority
• Continued provision poses a security, legal or reputational risk

Effect of termination

Upon termination, your licence to use the Services ends. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity and governing law) will survive termination.

We may update these Terms from time to time. We will post the revised Terms on sponsoro.co.uk/terms with an updated “Last updated” date. Material changes will be notified by email or in-app notice where practicable before they take effect.

Continued use of the Services after changes take effect constitutes acceptance. If you do not agree to revised Terms, you must stop using the Services and cancel your Subscription.

• Governing law: England and Wales
• Courts: the courts of England and Wales have exclusive jurisdiction, except where mandatory consumer protection laws provide otherwise
• Entire agreement: these Terms, the Privacy Policy and any executed DPA or Enterprise order form constitute the entire agreement
• Severability: if any provision is unenforceable, the remainder remains in effect
• No waiver: failure to enforce a provision is not a waiver of future enforcement
• Assignment: you may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale
• Force majeure: neither party is liable for delay or failure due to events beyond reasonable control
